Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website, programs, membership, events, and related services (together, the "Services") operated by the Nelson Mandela Leadership Institute ("MLI," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy and Code of Conduct, which are incorporated by reference. If you do not agree, please do not use the Services.

You must be at least 16 years old to create an account or apply to a program, or have the consent of a parent or legal guardian where required by law. By using the Services, you represent that you meet these requirements and that any information you provide is accurate and complete.

Some features require you to provide information — for example, an application, a contact form, or a speaking request. You are responsible for the accuracy of the information you submit and for keeping your account credentials confidential.

Acceptance into a program or membership is at the sole discretion of MLI. We may decline, suspend, or revoke access where an applicant or member does not meet program requirements or does not comply with these Terms or our Code of Conduct.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right.
• Harass, threaten, defame, or otherwise harm another person, or engage in discriminatory or hateful conduct.
• Upload or transmit malicious code, or interfere with the security, integrity, or availability of the Services.
• Attempt to gain unauthorized access to any account, system, or data, or to scrape or otherwise extract data at scale without our written permission.
• Misrepresent your identity, affiliation, or relationship with MLI or with any partner or program.

The Services, including all text, graphics, logos, images, video, audio, curricula, and software, are owned by MLI or its licensors and are protected by copyright, trademark, and other intellectual-property laws. The names "Nelson Mandela Leadership Institute," "MLI," and related marks and logos are trademarks of their respective owners and may not be used without prior written permission.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. All other rights are reserved.

You retain ownership of the content you submit to us — for example, applications, essays, questions, or media ("Your Content"). By submitting Your Content, you grant MLI a worldwide, royalty-free, non-exclusive license to host, store, reproduce, and use it as reasonably necessary to operate the Services and to review and process your submission.

You represent that Your Content does not violate any third-party rights or applicable law, and that any information you submit about other people is accurate and shared with an appropriate lawful basis.

Certain programs, memberships, or engagements may involve fees, donations, sponsorships, or partnership commitments. The specific terms — including amounts, refunds, and deliverables — will be set out in a separate agreement or on the applicable page at the time of the transaction. Unless otherwise stated, donations are non-refundable.

The Services may include links to, or integrate with, third-party websites, tools, or partner organizations. We do not control these third parties and are not responsible for their content, policies, or practices. Your use of them is subject to their own terms and privacy policies.

We may suspend or terminate your access to any part of the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, our Code of Conduct, or applicable law, or if we need to protect MLI, our community, or the Services. You may stop using the Services at any time.

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any content, opinion, or advice offered through the Services is accurate for your particular circumstances.

To the fullest extent permitted by law, MLI and its trustees, officers, employees, volunteers, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of, or inability to use, the Services. Our aggregate liability for any claim arising out of or relating to the Services shall not exceed the greater of one hundred U.S. dollars (US$100) or the amounts you paid to MLI in the twelve months preceding the claim.

You agree to defend, indemnify, and hold harmless MLI and its trustees, officers, employees, volunteers, partners, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your Content, or your misuse of the Services.

These Terms are governed by the laws of the Republic of South Africa, without regard to its conflict-of-laws principles. You and MLI agree to submit to the exclusive jurisdiction of the courts located in Johannesburg, South Africa, for any dispute arising out of or relating to these Terms or the Services, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

We may update these Terms from time to time. When we do, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Services after any change constitutes acceptance of the revised Terms.
